These Terms and Conditions ("Terms") govern your access to and use of the GreySky website, online store, and services (collectively, the "Platform"). By visiting our website, browsing our products, or completing a purchase, you agree to be bound by these Terms in their entirety.


Please read these Terms carefully before using our Platform. If you do not agree to these Terms, you must immediately cease using our website and services. GreySky reserves the right to update these Terms at any time.

1. WEBSITE USAGE TERMS

By accessing the GreySky website, you represent and agree that:

  1. You are at least 18 years of age or are accessing the website under the supervision of a parent or legal guardian.
  2. You will use the website only for lawful purposes and in a manner that does not infringe the rights of any third party.
  3. You will not attempt to gain unauthorised access to any part of the website, its servers, or any database connected to the website.
  4. You will not transmit any harmful, offensive, defamatory, or otherwise objectionable content through the website.
  5. You will not use automated tools, bots, scrapers, or similar technologies to access or extract data from the website without our prior written consent.
  6. You acknowledge that your access to the website may be suspended or terminated without notice if you violate these Terms.

GreySky reserves the right to modify, suspend, or discontinue any part of the website at any time without liability.

2. INTELLECTUAL PROPERTY RIGHTS

All content on the GreySky Platform — including but not limited to brand name, logo, graphics, photographs, illustrations, product designs, drop names (including "Depth Over Speed"), text, copy, layout, and software — is the exclusive intellectual property of GreySky and is protected under the Copyright Act, 1957 (India), the Trade Marks Act, 1999 (India), and other applicable intellectual property laws.


You are expressly prohibited from:

  • Copying, reproducing, distributing, modifying, or creating derivative works from any GreySky content without prior written authorisation.
  • Using GreySky's brand name, logo, or trade dress in any commercial manner without express written consent.
  • Removing or altering any copyright, trademark, or other proprietary notices from GreySky content.
  • Passing off our designs, products, or brand elements as your own or as belonging to any third party.


Unauthorised use of GreySky intellectual property may result in civil and criminal liability under applicable law. Any goodwill generated through the use of GreySky's trademarks inures exclusively to the benefit of GreySky.

3. PRODUCT INFORMATION ACCURACY

GreySky makes every effort to ensure that product descriptions, images, pricing, size guides, and availability information displayed on our website are accurate and up to date. However, we do not warrant that such information is error-free, complete, or current at all times.


Please note:

  • Product colours may appear slightly different on screen due to monitor calibration and display settings.
  • Garment measurements and sizing are provided as a guide; slight variations may exist within manufacturing tolerances.
  • Product descriptions are provided for informational purposes only.


GreySky reserves the right to correct any errors, inaccuracies, or omissions in product information at any time without prior notice and to cancel any orders placed based on incorrect information.

4. PRICING AND PAYMENT POLICY

4.1  Pricing

All prices listed on the GreySky website are in Indian Rupees (INR) unless otherwise specified, and are inclusive of applicable Goods and Services Tax (GST) as required under Indian tax law. Prices are subject to change at any time without notice.

4.2  Accepted Payment Methods

GreySky accepts the following payment methods:

  • Online payments: Credit cards, debit cards, UPI, net banking, and digital wallets via secure third-party payment gateways.
  • Cash on Delivery (COD): Available for eligible orders within India, subject to order value thresholds and geographic availability.

4.3  Payment Processing

Online payments are processed securely through our payment gateway partners. GreySky does not store your complete financial information. In the event of a payment failure, please retry the transaction or contact your bank before reaching out to us.

4.4  COD Conditions

For Cash on Delivery orders: (i) payment must be made in full in cash at the time of delivery; (ii) GreySky reserves the right to refuse COD for orders above a certain value or to specific locations; and (iii) repeated refusals or non-acceptance of COD orders may result in the suspension of COD privileges for that customer.

4.5  Currency and Taxes

International customers are responsible for any import duties, customs fees, local taxes, or additional charges levied by their country's customs authorities. GreySky is not responsible for such charges and cannot predict their amount.

5. LIMITED EDITION PRODUCT POLICY

GreySky specialises in limited edition streetwear releases. By purchasing or attempting to purchase a limited edition product, you acknowledge and agree to the following:

Scarcity and Availability

Limited edition products (including, without limitation, the "Depth Over Speed" drop of 59 pieces) are produced in strictly finite quantities. Once a limited edition product sells out, it will not be restocked. Product availability is on a first-come, first-served basis.

No Guarantee of Purchase

Placing a product in your cart does not guarantee purchase or reserve inventory. A product is only secured upon successful completion of payment and receipt of an order confirmation from GreySky.

Anti-Bot and Fair Access Policy

GreySky is committed to providing fair access to all customers. The use of bots, automated purchasing scripts, or any technology designed to artificially advantage any user in acquiring limited edition products is strictly prohibited and may result in order cancellation and permanent account suspension.

No Resale Restrictions

While GreySky cannot legally prohibit resale, we discourage bulk purchasing for immediate commercial resale. We reserve the right to limit the number of units any single customer may purchase per drop.

Collector's Value

GreySky makes no representations regarding the future monetary or collector's value of any limited edition product. Purchasing our products for speculative investment purposes is done entirely at your own risk.

6. ORDER ACCEPTANCE AND CANCELLATION

6.1  Order Acceptance

Your placement of an order does not constitute a binding contract. A contract is formed only when GreySky sends you a formal order confirmation via email. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

  • Product unavailability or stock discrepancies
  • Errors in pricing or product information
  • Suspected fraudulent activity or violation of these Terms
  • Inability to process payment
  • Delivery restrictions to the specified address

6.2  Customer Cancellations

Orders may be cancelled by the customer within 24 hours of placement, provided the order has not already been processed or dispatched. To request a cancellation, contact us immediately at support@greysky.in with your order number.

6.3  GreySky Cancellations

If GreySky cancels your order after payment has been received, a full refund will be processed to the original payment method within 7–10 business days. We will notify you via email in the event of a cancellation.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

  1. GreySky's total liability to you for any claim arising out of or related to your use of our website or purchase of our products shall not exceed the amount paid by you for the specific order giving rise to such claim.
  2. GreySky shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damages.
  3. GreySky does not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components.
  4. GreySky is not responsible for any third-party websites linked from our Platform; such links are provided for convenience only.
  5. Nothing in these Terms shall limit liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

This limitation of liability reflects a fair allocation of risk between GreySky and you, is an essential element of the basis of the bargain between us, and will apply notwithstanding any failure of essential purpose of any limited remedy.

8. PROHIBITED ACTIVITIES

The following activities are strictly prohibited on or in connection with the GreySky Platform:

  • Using the website for any unlawful, harmful, fraudulent, or abusive purpose
  • Impersonating GreySky, our employees, or any other person or entity
  • Attempting to gain unauthorised access to our systems or databases
  • Uploading or transmitting malicious code, viruses, or disruptive data
  • Scraping, crawling, or harvesting data from the website without authorisation
  • Engaging in price manipulation, fraudulent orders, or chargebacks without genuine cause
  • Using GreySky's brand, logos, or intellectual property without authorisation
  • Bulk purchasing with intent to resell at exploitative prices in ways that harm GreySky's brand and community
  • Harassing, threatening, or abusing GreySky's staff, partners, or other customers
  • Circumventing any security measures or technical restrictions on the website

Violation of any of the above may result in immediate suspension of your account, cancellation of pending orders, and potential legal action.

9. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Applicable legislation includes, but is not limited to:

  • The Information Technology Act, 2000 and its amendments
  • The Consumer Protection Act, 2019
  • The Sale of Goods Act, 1930
  • The Indian Contract Act, 1872
  • The Trade Marks Act, 1999
  • The Copyright Act, 1957
  • The Goods and Services Tax (GST) legislation

10. DISPUTE RESOLUTION

10.1  Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or any product purchased from GreySky, the parties shall first attempt to resolve the dispute informally by contacting GreySky at legal@greysky.in. We will make good faith efforts to resolve the matter within 30 days of receiving notice of the dispute.

10.2  Arbitration

If the dispute cannot be resolved informally, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, or failing agreement, appointed in accordance with the Act. The seat and venue of arbitration shall be India. The language of arbitration shall be English. The arbitral award shall be final and binding on the parties.

10.3  Jurisdiction

For matters not subject to arbitration, and for the enforcement of any arbitral award, the parties submit to the exclusive jurisdiction of the competent courts of India. You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

10.4  Consumer Grievances

Consumers may also approach the relevant Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, for resolution of disputes. Our Grievance Officer can be contacted at legal@greysky.in.

11. CHANGES TO TERMS

GreySky reserves the right to modify, update, or replace these Terms and Conditions at any time at our sole discretion. Changes become effective upon posting to the website. Where changes are material, we will make reasonable efforts to notify you via email or a prominent website notice.

Your continued use of the GreySky Platform after the effective date of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms regularly. If you do not agree to any revised Terms, you must immediately discontinue use of the Platform.

12. MISCELLANEOUS PROVISIONS

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and GreySky with respect to your use of the Platform and supersede all prior agreements and understandings.

Waiver

GreySky's failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future.

Force Majeure

GreySky shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, strikes, or internet service disruptions.
